Welcome to CMOBeatsRichie (the "Site", "we", "us", or "our"). These Terms of Service (the "Terms") form a binding agreement between you and CMOBeatsRichie governing your access to and use of our website, beats, memberships, downloads, community features, and any related services (collectively, the "Services"). By creating an account, purchasing a license, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Accounts

• You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase licenses or enter into contracts on the Services. Users under 18 may only use the Services with the involvement of a parent or legal guardian.
• You agree to provide accurate, current, and complete information when registering, and to keep that information up to date.
• You are responsible for all activity that happens under your account, and for keeping your password and credentials secure. Notify us immediately of any unauthorized access.
• We may suspend or terminate accounts that violate these Terms, our policies, or applicable law.

2. The Services

CMOBeatsRichie provides a platform for discovering, licensing, and downloading instrumental music ("Beats"), along with memberships, community features, artist tools, contests, and educational content. Features, pricing, and availability may change at any time.

3. Purchases, Pricing & Taxes

• All prices are listed in U.S. Dollars unless stated otherwise and may change at any time.
• You authorize us (and our payment processors) to charge your selected payment method for any purchases, recurring memberships, or applicable taxes and fees.
• You are responsible for any taxes that apply to your purchase.
• Receipts and order history are available in your account dashboard.

4. License Agreement (Beats)

All Beats are licensed, not sold. Your rights to use a Beat are defined by the specific license tier you purchase (e.g., MP3, WAV, Trackouts, Unlimited, Exclusive). The terms of that license — including permitted uses, distribution limits, and required credit — are set out in the License Agreement and License Policy, both of which are incorporated into these Terms by reference. If there is a conflict, the License Agreement controls for matters specific to a particular Beat license.

You agree:

• Not to resell, redistribute, sublicense, or claim authorship of Beats.
• To credit "Prod. CMOBeatsRichie" where required by your license tier.
• That all underlying rights in the Beat (including the composition and master) remain owned by CMOBeatsRichie, except as expressly granted by the license.

5. Memberships & Subscriptions

• Paid memberships renew automatically at the stated interval until canceled.
• You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Membership perks (download credits, discounts, community access, etc.) may change. We will give reasonable notice of material changes.
• Free trials, if offered, automatically convert into a paid membership unless canceled before the trial ends.

6. Refunds

Due to the digital, downloadable nature of Beats and licenses, all sales are generally final. Refunds, chargebacks, and dispute resolution are governed by our Refund & Chargeback Policy, which is incorporated into these Terms.

7. User Content & Conduct

"User Content" means anything you submit, upload, or post — including songs, demos, comments, artist profiles, messages, and applications.

• You retain ownership of your User Content. You grant CMOBeatsRichie a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and adapt your User Content as needed to operate and promote the Services, including showcasing successful releases by licensees.
• You represent that your User Content does not infringe third-party rights, violate any law, or contain malware.
• You agree not to: harass other users, post hateful or illegal content, impersonate anyone, scrape or reverse-engineer the Services, attempt to bypass licensing limits, or interfere with normal operation.

We may remove User Content or restrict accounts at our discretion to enforce these Terms.

8. Intellectual Property

All content on the Services that is not User Content — including Beats, branding, logos, page copy, software, designs, and curated playlists — is owned by CMOBeatsRichie or its licensors and is protected by copyright, trademark, and other laws. Nothing in these Terms transfers any ownership rights to you; you receive only the license expressly granted.

9. Copyright Complaints (DMCA)

If you believe content on the Services infringes your copyright, send a notice to support@cmobeatsrichie.com including: a description of the work, the URL of the allegedly infringing material, your contact info, a statement of good-faith belief, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature.

10. Third-Party Services

The Services integrate with third-party providers (e.g., payment processors, streaming platforms, email delivery, analytics). Their terms and privacy policies govern your interactions with them. We are not responsible for third-party services.

11. Disclaimers

The Services and all Beats are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not guarantee any specific commercial, artistic, or financial outcome from using the Services.

12. Limitation of Liability

To the maximum extent permitted by law, CMOBeatsRichie and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to your use of the Services. Our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to CMOBeatsRichie in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless CMOBeatsRichie from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your User Content, your use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Services at any time for any violation of these Terms, abusive behavior, fraud, chargeback abuse, or for legal or operational reasons. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, indemnification, and dispute terms) will continue to apply.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where required, request your re-acceptance the next time you sign in. Continued use of the Services after changes become effective constitutes acceptance.

16. Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which CMOBeatsRichie is principally located, without regard to conflict-of-laws principles. The parties agree to resolve disputes first by good-faith negotiation. If a dispute cannot be resolved informally, it will be brought exclusively in the state or federal courts with jurisdiction over that location, and you and CMOBeatsRichie consent to that venue. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual property.

17. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
